1. Agreement
These Terms of Use ("Terms") constitute a legal agreement between you ("you," "visitor," or "user") and VisualSynth Inc. ("VisualSynth," "we," "us," or "our"), a corporation registered in Canada with its studio at 213 Sterling Road, Suite 101, Toronto, ON M6R 2B2. By accessing or using visualsynthai.pro (the "Site"), you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, do not use the Site.
2. About the Site
The Site provides information about VisualSynth's generative-AI visual production services, studio location, and contact channels. Descriptions of services, capabilities, and timelines are illustrative unless confirmed in a signed statement of work. Nothing on the Site constitutes a binding offer to provide production services.
3. Eligibility
You must be at least the age of majority in your province or territory of residence to submit a contact form or enter into discussions that may lead to a commercial contract. If you access the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms for Site use.
4. Permitted use
You may view, download, and print Site content for personal or internal business evaluation purposes. You may link to the Site's homepage using a fair and lawful text link that does not suggest endorsement or affiliation without our written consent.
5. Prohibited conduct
You agree not to:
- Use the Site in violation of applicable Canadian or local law;
- Attempt to gain unauthorized access to servers, accounts, or data;
- Introduce malware, scraping bots, or automated form submissions intended to disrupt operations;
- Harvest email addresses or personal information of others from the Site;
- Misrepresent your identity or affiliation in contact submissions;
- Reproduce, redistribute, or create derivative works from Site content for commercial republication without permission;
- Remove copyright, trademark, or proprietary notices;
- Use Site imagery or copy to imply VisualSynth endorses your products without authorization;
- Frame or mirror the Site on another domain without written consent.
6. Intellectual property
Unless otherwise noted, the Site and its contents — including text, layout, logos, graphics, photographs, and code — are owned by VisualSynth or its licensors and protected by copyright, trademark, and other intellectual property laws. "VisualSynth" and associated branding are trademarks of VisualSynth Inc. Unauthorized use may violate civil and criminal law.
Third-party fonts and libraries used on the Site remain subject to their respective licences. Google Fonts are served under terms published by Google.
7. Site imagery and AI disclosure
Images displayed on the Site may include generative-AI-assisted production alongside traditional photography. Footer disclaimers describe our general approach to synthetic media. Site imagery is not automatically licensed for your reuse; production licences apply only to paid client deliverables under contract.
8. Contact submissions
Information submitted through our contact form is handled under the Privacy Policy. You agree that messages you send are accurate to the best of your knowledge and do not infringe third-party rights. We may decline to respond to abusive, fraudulent, or clearly automated submissions.
9. No professional advice
Site content is general information about visual production services. It is not legal, tax, regulatory, or intellectual-property advice. Consult qualified professionals before relying on Site copy for compliance decisions about synthetic media, advertising standards, or publicity rights.
10. Third-party links
The Site may link to external websites or services. We do not control and are not responsible for third-party content, availability, or privacy practices. Access linked sites at your own risk.
11. Disclaimer of warranties
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VISUALSYNTH INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM SITE USE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY FOR PERSONAL INJURY OR FRAUD CANNOT BE LIMITED BY LAW.
These limitations apply to claims based on warranty, contract, tort, negligence, or any other legal theory.
13. Indemnity
You agree to indemnify and hold harmless VisualSynth Inc. and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or violation of third-party rights.
14. Production services
Generative-AI visual production engagements are governed by separate written agreements that define scope, fees, revisions, usage rights, confidentiality, and synthetic-media disclosure. If a conflict arises between these Terms and a signed production contract, the production contract controls for that engagement.
15. Suspension and termination
We may suspend or restrict access to the Site at any time for maintenance, security, or policy enforcement without prior notice. We may block IP ranges or submission patterns associated with abuse. Provisions that by nature should survive termination — including intellectual property, disclaimers, limitations of liability, and indemnity — will survive.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would apply another jurisdiction's laws. You attorn to the exclusive jurisdiction of the courts located in Toronto, Ontario, for disputes arising from these Terms or Site use, subject to mandatory consumer protections that cannot be waived in your home jurisdiction.
17. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced with an enforceable provision that most closely reflects the original intent.
18. Entire agreement for Site use
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and VisualSynth regarding Site access. They supersede prior oral or written understandings about Site use.
19. Changes
We may revise these Terms by posting an updated version with a new "Last updated" date. Material changes may be highlighted on the Site. Continued use after changes take effect constitutes acceptance unless applicable law requires additional consent.
